BromeoGrid Terms of Service

Effective date: March 29, 2026

1. Acceptance of terms

By downloading, installing, or using BromeoGrid (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Software. These Terms constitute a legally binding agreement between you and The Gatekeeper Enterprises ("we", "us", "our"), the developer and publisher of BromeoGrid.

2. Description of the Software

BromeoGrid is a desktop workspace manager for Windows that allows users to create resizable grid layouts, manage window positions, and enhance their desktop workflow. The Software includes a free tier and paid Pro features accessible through license activation.

3. License grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on your personal devices in accordance with these Terms and the plan linked to your account. The Software is licensed, not sold. We retain all rights, title, and interest in and to the Software, including all intellectual property rights.

4. Plans and access levels

BromeoGrid may be used only under the plan linked to your account. Free, Pro monthly, Pro yearly, and any future access levels may differ in available functionality, feature limits, and support scope. We reserve the right to modify plan features, pricing, and availability at any time. Changes to active paid plans take effect at the next renewal period.

Educational, school, small business, enterprise, and any other organization pricing are restricted to the real institution or company that qualified for that pricing. We may request verification details, review organization domains, audit workspace usage, downgrade misclassified accounts, suspend seats, or terminate discounted access if the pricing is used outside the verified organization.

5. Accounts and security

You are responsible for keeping your account credentials, Google sign-in access, and device access secure. You must not share your account or license key with others. Contact details in your account should remain accurate so we can send billing, licensing, and support notifications. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.

6. Licenses, upgrades, and trials

Paid access unlocks Pro functionality for the period shown in your dashboard. If you upgrade from monthly to yearly, the yearly period is stacked after the current monthly period ends and your existing license key remains the same. Free trial access, if offered, provides temporary Pro features for a limited period. Trial limitations and duration are displayed at the time of activation. We may change trial availability at our discretion.

7. Payments and renewals

Payments are processed through Mollie. Current checkout methods may include iDEAL, credit and debit card, PayPal, Apple Pay, Bancontact, Google Pay, Pay by Bank, Trustly, and Billie for eligible business purchases, plus any other Mollie-supported methods shown for your region, device, and checkout type. All prices are listed in euros (EUR) and include VAT where applicable.

When you purchase a paid plan, your first payment creates a billing mandate with Mollie. After the first payment is confirmed, a recurring subscription is automatically created at the same billing interval (monthly, yearly, or three-yearly depending on your plan). Subsequent payments are charged automatically at the start of each new billing period using the payment method from your initial purchase.

You can cancel your subscription at any time from your dashboard. After cancellation, your license remains active until the end of the current billing period. No further payments will be charged after cancellation. Access to Pro features ends when the current period expires.

8. Refunds

Refund requests may be considered on a case-by-case basis within 14 days of purchase, in line with EU consumer protection regulations. To request a refund, contact us through the support tickets page in your dashboard. Refunds are not guaranteed for cases where the Software was used extensively or the request falls outside the statutory cooling-off period.

9. Prohibited use

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, translate, or create derivative works based on the Software
  • Distribute, sublicense, lease, rent, or lend the Software or your license key to third parties
  • Use the Software for any unlawful purpose or in a way that violates any applicable law or regulation
  • Circumvent, disable, or interfere with any security, licensing, or access-control features of the Software
  • Use the Software to intentionally disrupt or interfere with the experience of other users or our services

10. Intellectual property

BromeoGrid, its name, logo, user interface, code, and all related materials are the exclusive property of The Gatekeeper Enterprises. All trademarks, service marks, and trade names are owned by The Gatekeeper Enterprises. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

11. Support and fair use

Customer support is handled through the signed-in support tickets page in your dashboard. We aim to respond to inquiries in a timely manner but do not guarantee specific response times. We may limit or suspend access if the service is abused, used unlawfully, or intentionally disrupted for other users.

12. Updates and changes

We may release updates, patches, or new versions of the Software at our discretion. Updates may add, modify, or remove features. We are not obligated to provide updates or maintain backward compatibility with older versions. Continued use of the Software after an update constitutes acceptance of any changes.

13. Disclaimer of warranties

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Software will be uninterrupted, error-free, secure, or free of harmful components. You use the Software at your own risk.

14. Limitation of liability

To the maximum extent permitted by applicable law, The Gatekeeper Enterprises and its developers, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, business opportunities, or goodwill, arising out of or in connection with your use of the Software. Our total aggregate liability for any claim arising from these Terms or the Software shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless The Gatekeeper Enterprises from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your violation of these Terms, misuse of the Software, or infringement of any third-party rights.

16. Termination

We may suspend or terminate your access to the Software at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our reasonable discretion. Upon termination, your license to use the Software is immediately revoked. Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

17. Third-party services

The Software and website may integrate with or link to third-party services such as Mollie (payments), Google (authentication), and others. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the content, availability, or practices of third-party services.

18. Governing law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms shall be submitted to the competent courts in the Netherlands. If you are a consumer within the European Union, you also enjoy the protection of any mandatory provisions of the law of your country of residence.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Changes to these Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Software after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active users through the dashboard or email.
